Minnesota bans MV Realty over deceptive homeowner benefit agreements

Attorney General Keith Ellison has reached a settlement with MV Realty, resolving a lawsuit filed in September 2024. The settlement declares the company's "Homeowner Benefit Agreements" (HBAs) null and void. These agreements contained hidden oppressive terms that deceived Minnesota homeowners. A consent judgment filed in Ramsey County mandates that MV Realty rescind any active HBAs and contact county recorders to declare these agreements void.

The order permanently prohibits MV Realty from conducting business in Minnesota. Additionally, the company's main officers — Anthony Mitchell, David Manchester, and Amanda Zachman — are barred from engaging in residential real estate brokerage work in the state for five years. Amanda Zachman is also required to pay $10,000 for allegedly practicing real estate without a license.

The judgment also requires MV Realty to return penalties collected from individuals who unknowingly violated HBAs. Restitution eligibility includes heirs of estates charged an “Early Termination Fee” due to actions of deceased family members under an HBA.

Attorney General Ellison's lawsuit accused Florida-based MV Realty PBC, LLC, its Minnesota arm MV Realty of Minnesota, LLC, and shared officer Amanda Zachman of violating consumer protection laws by selling contracts with oppressive terms and obscuring them during sales pitches. The business model was said to obscure objectionable contract terms through documents recorded on property titles.

“Minnesotans deserve to know what they’re signing up for,” Attorney General Ellison stated. “We talked to hundreds of people across the state... I’m pleased we’ve gotten people and their families out of these deceptive, oppressive contracts.”

The Minnesota Attorney General’s Office collaborated with local and national partners on this case. Minnesotans eligible for restitution or those with questions about terminations can file complaints via the Attorney General’s online form or contact their office by phone.
