Fox Rothschild congratulates Partners Phillip B. Martin and Timothy J. Scallen, who were selected to Minnesota Lawyer’s 2025 POWER 30 Mergers and Acquisitions list.
The POWER 30 highlights those “whose mere presence on a case signifies the stakes, who have influenced the direction of the law, whose leadership in the community is pervasive and whose respect within the bar is undeniable.”
Minnesota Lawyer turned to Martin, Co-Chair of the firm’s Private Equity & Investment Management Practice Group, to ask what he sees as the biggest challenge currently facing the M&A world. Martin says, “For strategic investors, competing with financial buyers that are able to pay higher multiples for acquisitions as interest rates decline. Although the change in administration will generally result in less regulatory approval concerns, there could be some sectors and industries that receive heightened scrutiny based on priorities of the new administration.”
Scallen, co-chair of the firm’s Mergers & Acquisitions group, has noticed that over the last few years, “The level of diligence by buyers in transactions has increased significantly…I’m seeing an extensive use, not only of legal diligence, but third-party diligence providers such as environmental consultants, benefits consultants, insurance consultants, etc. So, there has been a lot of additional diligence coming into these transactions, which has made the transactions longer and more labor-intensive as a result of that.”
