Three Ballard Spahr Attorneys Named to 2024 Legal 500 M&A Practice Powerlist

Three Ballard Spahr Mergers and Acquisitions attorneys have been named to The Legal 500’s M&A Practice Powerlist, a directory of “practitioners deemed the gold standard by businesses.”

To compile its list, The Legal 500 performs in-house research and interviews leading M&A practitioners and general counsel. The three Ballard Spahr attorneys recognized are:

Amy L. Arndt: Ms. Arndt is the Practice Leader of Ballard Spahr’s Owner-Managed and Closely Held Businesses Group. Her practice emphasizes advising privately held companies on private offerings/placements and finance, corporate governance, disclosure matters, mergers and acquisition transactions, and asset acquisitions and divestitures. She also manages outside general counsel services for many clients across the firm. Ms. Arndt is a member of the firm’s Elected Board and is the immediate past Office Managing Partner for its Sioux Falls location.

Robert C. Kim: Mr. Kim represents clients in business entity formation and operation, corporate governance matters, capital formation, mergers and acquisition transactions, and licensing. He also helps structure transactions and guide clients through applicable fiduciary duties, anti-takeover statutes, preemptive rights, and appraisal rights. He negotiates representations and warranties, pre- and post-closing covenants, payment structures/earnouts, and indemnification obligations. Mr. Kim co-leads the firm’s Gaming Team and is its Las Vegas Office Managing Partner. Mr. Kim also is a member of the working group for the America Bar Association’s Private Target Mergers & Acquisitions Deal Points Study.

Justin P. Klein: Mr. Klein advises publicly and privately held companies on diverse securities matters, including day-to-day corporate governance, disclosure, and other transactional matters. His practice also encompasses representation of other firms in the securities industry. Mr. Klein is the Director of the John L. Weinberg Center for Corporate Governance at the University of Delaware.
