WHITE PLAINS, N.Y. (Legal Newsline) – The former director of a New York company alleges he was improperly terminated.

Ioannis Misopoulos filed a complaint on behalf of himself individually and derivatively on Jan. 31 in the U.S. District Court for the Southern District of New York against LoveBug Nutrition Inc. and Ashley and Benjamin Harris alleging breach of contract

According to the complaint, the plaintiff alleges he was terminated for refusing to sign a new, materially worse agreement with the defendants. The suit states the plaintiff previously signed a 2015 contract that named him as director of LoveBug and entitled him to 5 percent of its stock.

The plaintiff alleges he received correspondence claiming to terminate his agreement in August 2017 and his position as director, but alleges he was never given notice of a meeting of shareholders or directors required by the bylaws to do these things.

The plaintiff seeks damages in his favor of no less than $320,000, attorney's fees, and any further relief the court grants. He is represented by Daniel E. Kelly of Leclairryan in New York.
