ShoreTel stockholder seeks to enjoin transaction with Mitel Networks Corp.

SAN FRANCISCO – A stockholder has filed suit regarding the proposed transaction between ShoreTel and Mitel Networks.

Armando Herrera filed a complaint on behalf of all others similarly situated on Aug. 28 in the U.S. District Court for the Northern District of California against ShoreTel Inc., Mitel Networks Corp., et al. citing the Securities Exchange Act.

According to the complaint, the plaintiff alleges that the defendants filed a materially incomplete and misleading solicitation/recommendation statement with the Securities and Exchange Commission. The plaintiff seeks to enjoin the defendants from consummating the transaction until the information is disclosed to ShoreTel stockholders.

The plaintiff is represented by Gregory M. Nespole, Benjamin Y. Kaufman and Kevin G. Cooper of Wolf Haldenstein Adler Freeman & Herz LLP in New York.
