Stockholder sues San Jose tech company over merger bid

SAN FRANCISCO (Legal Newsline) — A stockholder has filed a class action lawsuit against GigPeak Inc. and its board of directors, citing alleged negligent misrepresentation and violation of federal law over a merger proposal.

Felix Mendoza filed a complaint on behalf of all others similarly situated on March 13, in the U.S. District Court for the Northern District of California against the defendants, including Avi Katz, Neil Miotto, Kimberly Trapp, Joseph Lazzara, John Mikulsky and Frank Schneider, alleging that they issued false and misleading statements to the stockholders.

According to the complaint, the plaintiff alleges that he suffered damages from being provided with false information regarding the proposed merger transaction. The plaintiff holds GigPeak and its board responsible because the defendants allegedly failed to disclose material information to the plaintiff in order to push through the merger.

The plaintiff requests a trial by jury and seeks to enjoin the defendants. He also seeks damages, profits and any special benefits, all legal fees and any other relief as the court deems just. He is represented by Rosemary Rivas of Levi & Korsinsky LLP in San Francisco.
