Shareholder alleges BATS Global Market, board members violated law

TOPEKA, Kan. (Legal Newsline) — A shareholder is suing a Kansas company and its board members, alleging violation of federal law.

Seung Kim filed a class action complaint, individually and on behalf of all others similarly situated Dec. 16 in U.S. District Court for the District of Kansas against BATS Global Markets Inc. of Lenexa, Kansas, Chris Concannon, Joseph Ratterman, Alan H. Freudenstein, Robert W. Jones, Jamil Nazarali, John McCarthy, Chris Mitchell, Frank Reardon and Michael Richter, alleging they issued incomplete and misleading statements in order to convince shareholders to vote in favor of a merger.

According to the complaint, Kim suffered monetary damages from being misled into agreeing to the merger. The plaintiff alleges the defendants issued proxy statements in order for the proposed transaction to be pushed through without following proper legal procedures.

Kim seeks trial by jury, to enjoin BATS Global Markets from proceeding with the proposed transaction until the company discloses all material information that was left out of the proxy, all damages, court costs and any further relief the court grants. He is represented by attorneys Thomas E. Hammond II of Gates Shields Ferguson Hammond PA in Overland Park, Kansas, and by Juan E. Monteverde of Monteverde & Associates PC in New York.
