WASHINGTON (Legal Newsline) — The Federal Trade Commission (FTC) has announced the approval of final amendments to the Hart-Scott-Rodino Premerger notification rules.
These rules allow HSR filings to be submitted via DVD. They also streamline instructions to the Premerger notification form. The goal of the amendments is to improve the HSR filing process – making it easier, more efficient and less burdensome.
The Hart-Scott-Rodino Antitrust Improvements Act, enacted by Congress in 1976, allows the government to challenge mergers that could harm consumers. Under the act, companies must notify the FTC and Department of Justice of impending mergers via an HSR form that contains information about each company’s business.
HSR filings have always been submitted by paper form. The DVD allowance will eliminate expensive and time-consuming printing and duplication of electronically maintained documents.
The amendments also update the instructions for the HSR form.
The FTC voted 3-0 to vote to publish the amendments to the Federal Register.
